for the provision of advertising placement services in the Madloba Info catalog

Contractor: Individual Entrepreneur , acting on the basis of the certificate of state registration, on the one hand, and

Customer: ________________, represented by ________________, acting on the basis of ________________, on the other hand, collectively referred to as "Parties", have concluded this agreement as follows:

1. Subject of the Agreement

1.1. The Contractor undertakes to provide the Customer with services for placing advertising information in the Madloba Info catalog (hereinafter referred to as the "Catalog") for a period of 1 (one) month under the premium tariff, and the Customer undertakes to accept and pay for these services in accordance with the terms of this agreement.

1.2. The services are provided from "" __________ 2024 to "" __________ 2024.

2. Rights and Obligations of the Parties

2.1. Obligations of the Contractor:

2.1.1. Place the Customer's advertising information in the Catalog within ___ working days from the date of payment receipt.

2.1.2. Ensure the promotion of advertising information within the Catalog in accordance with the selected tariff.

2.1.3. Assign a personal manager to interact with the Customer on issues related to placement and promotion of advertising.

2.1.4. Ensure the confidentiality of information received from the Customer.

2.2. Rights of the Contractor:

2.2.1. Use the Customer's materials (logos, trademarks, advertising texts, and images) to fulfill the obligations under the agreement.

2.2.2. Make changes to the terms of service provision by notifying the Customer at least 14 days before the changes take effect.

2.2.3. Review payment terms once every three months with notification to the Customer.

2.2.4. In case of non-payment of services within 3 (three) days after the end of the billing period, recalculate the tariff with an increased coefficient.

2.2.5. Upon expiration of the agreement and in the absence of renewal, delete or modify the placed information without additional notification to the Customer.

2.3. Obligations of the Customer:

2.3.1. Provide the Contractor with the necessary accurate information and materials for placement in the Catalog.

2.3.2. Pay for the Contractor's services in the manner and terms established by this agreement.

2.3.3. Timely inform the Contractor about changes in the provided information.

2.3.4. Provide access to Google Business and Yandex accounts for promotion purposes, remaining the primary owner of the accounts.

2.4. Rights of the Customer:

2.4.1. Demand proper fulfillment of obligations by the Contractor under the agreement.

2.4.2. Contact the Contractor's personal manager on issues related to advertising placement and promotion.

3. Service Cost and Payment Procedure

3.1. The cost of services under this agreement is ________ GEL per month.

3.2. Payment for services is made monthly, in advance, no later than the first day of each month of service provision.

3.3. Payment is made by transferring funds to the Contractor's bank account:

3.4. The date of payment is considered the date the funds are credited to the Contractor's bank account.

4. Term of the Agreement

4.1. This agreement comes into force upon signing and is valid for 1 (one) month.

4.2. The agreement is automatically extended for the next month provided timely payment by the Customer.

4.3. Each Party has the right to terminate the agreement by notifying the other Party 30 (thirty) calendar days before the intended termination date.

5. Special Conditions

5.1. The Contractor does not guarantee an increase in sales, inquiries, or calls as a result of advertising placement in the Catalog.

5.2. The methodologies, strategies, and tools used by the Contractor for promotion are confidential and not subject to disclosure.

5.3. All rights to materials created by the Contractor (videos, photos, texts) belong to the Contractor.

5.4. All promotion activities are carried out through the Contractor's accounts, except for Google Business and Yandex accounts.

5.5. Additional work not specified in the agreement is performed for an additional fee and by agreement of the Parties.

5.6. The Contractor does not engage in promotion and analysis of the Customer's websites and social networks outside the Catalog.

5.7. Access to the Contractor's internal systems and accounts is not provided to the Customer.

5.8. All information and materials provided by the Customer are used only within the framework of this agreement and are not subject to disclosure.

5.9. The Contractor has the right to offer additional services, having previously agreed with the Customer on the cost and terms of their execution.

5.10. The Customer, recommending the Contractor to new clients, is entitled to a reward of 20% of the first payment of the new client.

6. Liability of the Parties

6.1. The Parties are liable for non-performance or improper performance of their obligations under the agreement in accordance with the Civil Code of Georgia.

6.2. The Contractor is not liable for lost profits or indirect damages of the Customer.

6.3. In case of force majeure circumstances, the Parties are released from liability for the duration of such circumstances.

7. Dispute Resolution Procedure

7.1. All disputes and disagreements arising from this agreement or in connection with it are resolved through negotiations between the Parties.

7.2. If it is impossible to resolve the dispute through negotiations, the dispute is subject to consideration in the court at the location of the Contractor in accordance with the legislation of Georgia.

8. Other Conditions

8.1. This agreement is governed and interpreted in accordance with the legislation of Georgia.

8.2. Any changes and additions to this agreement are valid if made in writing and signed by both Parties.

8.3. This agreement is drawn up in Georgian, Russian, and English languages in two copies, one for each Party, each having equal legal force.
